GENERAL TERMS AND CONDITIONS

 

These General Terms and Conditions (hereinafter ‘GTC’) are applicable to all Agreements concluded by FeelGood Sp. z o.o. with its registered office in Kraków, entered into the Register of Entrepreneurs of the National Court Register by the District Court for Kraków-Śródmieście in Kraków, the 11th Economic Division of the National Court Register under the KRS number 0000507733, with the share capital of PLN 200,000.00, fully paid-up, NIP (Tax ID) 9452179077, REGON (Business ID) 123104804 (hereinafter ‘Feelgood!).

 

Cooperation and contact

 

1.     At Feelgood! we work only with entrepreneurs (B2B relationships), which means that we do not fulfil orders for consumers. 

2.     The minimum order quantities we fulfil are: 

a.     min. 10 pcs. for clothing and textiles 

b.     min. 100 pcs. for gadgets

3.     Each one of our Customers is assigned a Customer Advisor, whom you can contact on business days via: 

a.     Phone, 

b.     e-mail,

you shall receive contact details of your Customer Advisor once we accept your order. 

3.     The contract is concluded after the receipt of written confirmation that your order has been accepted for fulfilment (confirmation is made by an email from our employee). 

4.     An accepted order cannot be cancelled. This means that upon acceptance of the order, the Customer shall be obliged to pay the agreed total remuneration.

5.     Feelgood! allows for the possibility of cancellation (in exceptional situations) of the accepted order. The condition for admissibility is that the production process has not been started and the Customer has paid an amount equal to 30% of the net remuneration for the fulfilment of the order. The final decision regarding Customer's ability to cancel the order belongs to Feelgood!.

6.     Feelgood! reserves the right to change the date of delivery of an order or to stop the delivery of subsequent parts of an order/consecutive orders placed by the Customer in the case of default for previous parts of an order/previous orders, until the Customer has fully settled the due liabilities to Feelgood! 

7.     Feelgood! stipulates that the ownership of the goods delivered, as part of the order fulfilment, is transferred to the Customer only upon payment of the total remuneration due to Feelgood!

8.     By placing an order, the Customer accepts the provisions of the GTC, unless otherwise agreed in writing. 

 

 

Rules for sending valuations 

 

1.     All valuations are sent exclusively via email from company inboxes in the domain feelgood.pl or feelgood.info.pl 

2.     Valuations are carried out free of charge. The Customer’s receipt of valuation does not constitute the start of cooperation. 

3.     The valuation is valid for a period of 7 calendar days after it has been sent to the Customer's e-mail address. The valuation does not constitute a commercial offer within the meaning of Art. 66 par.1 of the Civil Code. 

4.     If an order is placed via the website, the final offer is always confirmed by the assigned Customer Advisor. 

 

Our standards 

 

1.     All products are packaged and protected against possible damage before they are delivered to the Customer. 

2.     Every order is verified by our quality controllers.

3.     A visualisation of the fulfilment on the selected product is prepared by a Feelgood! graphic designer. 

4.     The first visualisation is provided free of charge and allows for 2 amendments within [ ] days of the submission of the first visualisation. 

5.     Each subsequent amendment of the Customer is carried out against payment. The cost of a one-off amendment is PLN 50 net. This amount shall be added to the final invoice. 

 

Fulfilment 

 

1.     The deadline for the fulfilment of the order is counted in working days (i.e. days from Monday to Friday) and starts from the moment Feelgood! receives all the details of the contract (described in item 2 below), but not earlier than the date of confirmation of the order by the Customer Advisor. 

2.     Feelgood! proceeds with the fulfilment of the order when the Customer has submitted and approved all details of the order by: 

a.     Sending properly prepared graphic files: in the case of screen printing, thermal transfer, computer embroidery, flex foil, latex flex, vector graphic files in PDF format are required; for DTG printing, any image file with a resolution of min. 300 DPI.

b.  Acceptance of visualisation, in particular: print size, print positioning, etc. 

c.    The name and symbol of the ordered goods and their description, i.e. Size, colour, weight, quantity. 

d.  Delivery address.

e.  Payer data. 

3.     The Customer may opt for trial production of the goods against payment. Each time, the details (such as the amount of the fee, the timing of the sample, etc.) shall be agreed between the Parties. 

4.     Production time and other deadlines are given as indicative, non-binding, unless otherwise agreed between the Customer and the Customer Advisor. 

5.     Feelgood! is not liable for any mistakes in the graphic design that was accepted by the Customer. 

6.     Due to the nature of the production process, in the case of orders with decoration, Feelgood! has the right to deliver +/- 5% of the ordered quantity regarding the placed order. Surely, we shall do our utmost to ensure that the quantity is not less than that ordered. If there is a difference, the agreed remuneration shall be amended (increased or decreased) accordingly. 

7.     If the delivery of the exact ordered quantity is required, the Customer undertakes to bear the additional costs involved. The Customer acknowledges and accepts that the final amount of additional costs shall only be determinable after the production process has been completed. 

8.     Surplus and production waste with minor defects may be donated to charity or sold at Feelgood!'s internal fair, to which the Customer agrees. 

 

Samples 

 

1.     The production of a sample for an order – at the Customer's request – is against payment. The terms and conditions of payment are determined by the Customer Advisor. 

2.     Upon receipt of the sample, the Customer is obliged to accept or reject it on the same day (if received before 3 PM) or by 10 AM the following day (in case the Customer received the sample after 3 PM). 

3.     If the sample is rejected, the order placed by the Customer is cancelled. Failure to accept shall be treated as rejection.

 

Packaging 

 

1.     As standard, clothing with labelling is packed in collective packaging. Each packaging contains a description of the number and sizes of the clothing/gadgets it contains. The cost of packaging is calculated in accordance with the applicable price list. 

2.     Feelgood! allows goods to be packed in unit packaging and then in collective packaging. The cost of unit packaging is calculated in accordance with the applicable price list. 

 

Fulfilment of the ordered goods 

 

1.     Photos presenting the offered goods are for illustrative purposes only. The actual appearance, in particular the colour and structure of the material, may differ from the images shown in the photos, as this may depend on the monitor settings, colour saturation, etc. 

2.     Feelgood! shall not be liable for the difference in shades between the colour of the goods in the catalogue and the actual colour of the goods ordered, nor for slight differences in shades of the ordered assortment. 

3.     Feelgood! is not liable for the temporary shortages of goods from suppliers. 

 

Entrustment of one’s own goods 

 

1.     In the case of entrustment of one’s own goods, the Customer is obliged to: 

a.     inform the Customer Advisor of the packaging method (i.e. whether they wish the goods to be repackaged in the same packaging after the order has been completed);

b.     submit the date of delivery of the goods entrusted – no later than 4 days before the start of production;

c.     mark the entrusted goods with an internal Feelgood! order number, sent by the Customer Advisor after the order has been accepted.

d.     provide a surplus of goods in the amount of 5% of the total volume to each order in the event of production shortfalls as described in item 6, i.e. ‘Fulfilment’.

2.     If the above guidelines are not followed or if the delivery of the goods is delayed, the delivery date may be changed. The Customer shall be notified of the new completion date by the Customer Advisor. 

3.     In the case of failure to provide the information referred to in let. a. item 1 packaging, in which the goods entrusted by the Customer were packed shall be disposed of. 

4.     If an order is fulfilled using goods supplied by the Customer, upon receipt of the goods Feelgood! recalculates the goods received. On this account, Feelgood! shall charge the Customer with additional costs, to which the Customer agrees. Furthermore, the Customer acknowledges and accepts that the final cost shall only be accepted after the goods have been recalculated. 

5.     In each case where an order is carried out using goods from the Customer, Feelgood! performs a test (of 1 item). If the test reveals defects in the delivered product, which shall result in the impossibility of fulfilling the order, the order is automatically cancelled and the Customer shall be obliged to bear the costs of the test execution. 

6.     If the Customers entrust pre-cuts for labelling, they are obliged to: provide Feelgood! with all the necessary information to enable the process (among others: a photo/review image of the goods in appropriate quality and resolution), sort the pre-cuts by types and sizes and mark the place where the labelling is to be done on each pre-cut. The Customer's failure to comply with the above obligations shall result in the Customer losing the opportunity to complain about the quality/performance of the order.

 

Transportation 

 

1.     Delivery costs are paid by the Customer. 

2.     If there is a delay in delivery, the customer shall be informed immediately. 

3.     When accepting goods from a transport or courier company, the Customer is obliged to check the condition of the delivered packaging. If the packaging is damaged or the goods are damaged in transit, this fact must be noted on the waybill or other relevant document signed in the presence of a representative of the transport or courier company and Feelgood! must be notified immediately within a maximum of 24 hours of delivery. Customer’s failure to comply with the above obligations shall result in the Customer losing the opportunity to complain about the quality/delivery method/quantity of the shipments received. 

 

Payments

 

1.     Remuneration payment shall be made in the manner and at the time indicated on the invoice. 

2.     Feelgood! reserves the right to make acceptance of an order for execution conditional on prepayment. 

3.     If the payment deadline is exceeded, the Customer shall be liable to pay the statutory interest for late payment in commercial transactions.

 

Complaints, Warranty 

 

1.     Parties exclude the application of the warranty provisions for physical defects of goods. 

2.     If the Customer makes a complaint, the Customer is obliged to attach a detailed description of the reason for the complaint and evidence in the form of photographs or a video recording. If it is necessary to deliver the goods to Feelgood! (in order to verify the complaint), the customer is obliged to bear all costs related to it. In the event of a successful complaint, Feelgood! shall reimburse the customer for the costs of delivery. 

3.     Complaints are only accepted in writing – sent to Feelgood! address.

4.     Complaints shall be dealt with within 14 days of receipt of complete information on the reason for the complaint. 

5.     The Customer acknowledges and accepts that each manufacturer and clothing brand has different tolerance regarding the dimensions of the products, including width and length. The dimensional tolerance is max +/- 10%, the shrinkage and grammage tolerance is max +/- 5%. 

 

Copyright 

 

1.     The customer agrees to use free of charge the products made by Feelgood! products in advertising and marketing materials, Feelgood! website, as part of an exhibition at a trade fair and as samples of technical possibilities as far as the quality of printing or embroidery is concerned.

2.     Feelgood! is entitled to include in its advertising materials information about the performance of the service for the Customer. 

3.     The Customers are fully liable for owning the copyright and/or the right to register the mark to the extent necessary for the execution of the order, among others, for the content of the logo, prints, embroidery, etc., which they order from Feelgood! 

4.     Feelgood! may refuse to make a print or embroidery if, in its opinion, it contains unlawful content or infringes the copyright of a third party. 

5.     Feelgood! does not conduct any verification of the order with regard to the use of copyrights by the Customer. In this respect, Feelgood!'s liability to both the Customer and third parties is excluded. 

 

Final provisions 

 

1.     In matters not covered by the GTC, the provisions of Polish law shall apply, in particular, provision of the Civil Code. 

2.     The competent court for disputes arising from contracts concluded with its customers is the court with jurisdiction over the registered office of Feelgood! 

3.     GTC are available electronically on the website: [ ].

4.     Feelgood! reserves the right to change the GTC at any time, and any changes shall be effective from the date of notification to the Customer. Orders placed prior to the amendment date shall be processed on the basis of the provisions in force on the day the order is placed.
